BYLAWS
The Bylaws serve as a guideline for the club and include details of how everything is organized. They were approved on September 8, 2005 at the monthly membership meeting. ARTICLE I: NAME
The name of this organization shall be the CSRA Mothers of Multiples (CSRA MOMS).
ARTICLE II: PURPOSE
SECTION I: The purpose of this organization shall be to benefit the members by exchanging ideas on the raising and care of twins and other multiple births. Professional advice and information shall be given; there will be a clothing and equipment exchange; various community activities and social activities for members.
SECTION II: This organization shall be non-profit, non-sectarian and non-partisan.
ARTICLE III: MEMBERSHIP
SECTION I: ELIGIBILITY Membership shall be open to families of twins, triplets or other multiples; families pregnant with twins, triplets or other multiples, families expecting to adopt twins, triplets or other multiples.
SECTION II: FISCAL YEAR The fiscal year of CSRA MOMS shall be from August 1st to July 31st.
SECTION III: DUES Annual dues for active members shall be twenty dollars payable by August 1st. After the second month of delinquency, all membership privileges shall be revoked. Prospective member dues are payable after a two-month trial membership, if they wish to join. Prospective members may attend meetings and social functions during the two months of their trial membership.
Dues will be pro-rated for new members joining during the fiscal year. If a new member joins between January and June, the dues are $10. The following August, all renewing members will be required to pay the full $20 dues.
SECTION IV: EXPULSION AND REINSTATEMENT The Executive Board, by unanimous vote may expel a member who fails to abide by the Bylaws of the organization. This action must not be based on race, color, creed, religion or personal conflicts. No refunds shall be made for any reason. Reinstatements may be obtained by unanimous approval and by the compliance of conditions set by the Executive Board.
ARTICLE IV: OFFICERS
SECTION I: OFFICERS The officers of this organization shall be President, Vice-President, Secretary and Treasurer.
SECTION II: TERM OF OFFICE Terms of office shall be for one year. No member shall be elected to the same office more than two consecutive terms. One term will run from August 1st to July 31st.
SECTION III: VACANCIES Should the President or any other Officer resign before her time expires, she shall be replaced by means of a special election at the next General Meeting.
ARTICLE V: EXECUTIVE BOARD
SECTION I: ELIGIBILITY The Executive Board shall consist of all elected officers and all appointed chairpersons of committees.
SECTION II: BOARD MEETINGS The regular meetings of the Executive Board shall be held quarterly immediately prior to the monthly General Meeting. Special meetings of the Executive Board may be called by the President and must be called upon request of five members of the Executive Board.
SECTION III: TRANSACTIONS OF BUSINESS For transaction of business of the Executive Board, one vote over one-half of the total Executive Board members present shall be necessary. The Executive Board shall transact the routine business of the organization, submitting recommendations to the general membership for approval. They shall take no action which conflicts with any vote of the membership.
SECTION IV: OFFICER DUTIES A. President: Presides at all Board and General Meetings. Shall appoint all committee chairpersons at the beginning of the fiscal year and appoint special committees as needed. She may not vote in the election of officers; may not vote on motions except in the event of a tie vote; shall give the Secretary an agenda before every meeting. She is authorized to sign checks on the Club’s bank account. B. Vice President: Shall act as an aide to the President, and in her absence, preside at all meetings. She shall also make all arrangements for General Meetings including procurement of a meeting location and guest speaker, shall prepare an article outlining the upcoming General Meeting program and submit to the President and to the Editor by the specified deadline. C. Secretary: Shall keep accurate records for the business of all meetings of the organization and of the Executive Board. Shall be prepared to refer to the minutes of the previous meetings; shall attend to official correspondence for the organization as requested by the President; shall maintain the bylaws; and shall submit minutes of all business meetings to the Editor by the specified deadline. D. Treasurer: Shall receive and disburse all money belonging to the organization; shall keep all records of income and expenditures. Shall collect and keep accurate records of all members’ dues and prepare such financial reports as are necessary for having an audit made of the books at the end of the term by a committee appointed by the President. Shall submit the monthly regular Treasurer’s report to the President and to the by the specified deadline. She is authorized to sign checks on the Club’s bank account. SECTION V: COMMITTEES A. Community Outreach: The community outreach chairperson shall appoint a committee, as needed to aid her in investigation all prospective philanthropic projects suggested by members, presenting complete information to the Executive Board when requested, and shall submit informational community outreach projects to the Editor by the specified deadline. B. Editor: The Editor will be responsible for updating and maintaining the club’s official website and private message boards. She shall publish a regular monthly newsletter to be distributed by email and posted on the private message boards. She shall appoint a staff, as needed, to assist her in completing her duties. She shall also serve as the NOMOTC representative. C. Social: The social chairperson shall appoint committees as needed to aid her in planning all social events, including, but not limited to: Saturday Brunches, Ornament Swap, Christmas party, Picnic, Easter egg hunt, Mom’s night out and Parent’s night out. She shall submit information on all scheduled events to the Editor for publication. D. Sunshine: The sunshine chairperson shall appoint a committee, as needed, to investigate all emergencies, illnesses, and hospitalizations of the member and her immediate family, providing help and an appropriate remembrance from the organization when applicable. She will coordinate meals and diaper drives for new moms and provide telephone/email support as needed for new moms. She will call/email on member birthdays. She will provide information as needed to the Editor for publication. E. Membership: The membership chairperson shall appoint a committee, as needed, to maintain current records of active and inactive members; maintain the membership file and a file of prospective members; issue membership cards or nametags upon verification from Treasurer that dues have been paid. She shall contact and inform new and prospective members about the organization; shall welcome and introduce new and prospective members at the General Meetings; shall submit all requested information on new members to the Sunshine chairperson and Editor by the specified deadline. F. Publicity: The publicity chairperson shall be responsible for informing the public of the organization and its activities through distribution of business cards, brochures, through press releases to the local media, and by participation in baby fairs/festivals. She shall also appoint a committee to aid her in publicizing the organization as needed. She shall submit information on publicity events to the Editor by the specified deadline. G. Ways and Means: The ways and means chairperson shall appoint a committee, as needed, to aid her in planning all fundraising projects, presenting complete information to the Executive Board when requested, and shall submit information on all Ways and Means projects to the Editor of the by the specified deadline. H. Secret Pals: The secret pal chairperson shall appoint a committee, as needed, to assign all interested members a secret pal. She shall ensure that all gifts and cards are delivered in a timely manner. The chair shall reveal the list of secret pals at the end of the fiscal year in July. I. Yard Sale: The yard sale chairperson shall appoint a committee to aid her in planning the fall and spring yard sales. The format for the yard sales can be found under Article IX. She shall submit the yard sale flyer and sale information to the Editor for publication by the specified deadline.
ARTICLE VI
NOMINATIONS AND ELECTIONS SECTION I: NOMINATING COMMITTEE The nominating committee shall consist of the President as the Chairman and four (4) members to be nominated from the floor at the June General Meeting. This committee shall present a slate of at least two (2) persons per office whenever reasonably possible. Following the presentation of the committee report at the June General Meeting, nominations may be made from the floor. The nominating committee or anyone nominating from the floor shall obtain the prior consent of all candidates.
SECTION II: CANDIDATE It is preferable that a nominee for President have served on the Executive Board for not less than six months. A nominee for any elected office shall have been active for not less than six months prior to nomination. Exceptions may be made at the discretion of the Executive Board.
SECTION III: ELECTIONS Annual elections shall be held in July. To be eligible to vote, those voting must have paid dues and been active members prior to June 1. Elections shall be by secret ballot by those eligible members in attendance or by a signed absentee ballot mailed to the Nominating Committee chairman before the June General Meeting. A candidate must receive a majority of the vote (one vote over one-half of total cast) to be elected. A tie vote of the highest order shall be re-balloted. In case of a tie, a second ballot shall be taken between the candidates receiving the highest number of votes. A second tie shall be decided by lot.
ARTICLE VII
MEETINGS The regular meeting of this organization shall be held each month with the exception of December or as designated by the President. Meetings will be held on the 2nd Thursday of each month at 7:00 pm. The location of the meeting shall be designated by the Vice President.
ARTICLE VIII
FINANCES SECTION I: Expenditure Authority The President shall have the authority to approve expenditures up to a maximum of $50.00. The Executive Board shall have the authority to approve all expenditures over fifty dollars to a maximum of $100.00. The membership shall approve all expenditures over $100.00.
SECTION II: The treasurer shall pay all bills as long as it falls within the approved budget up to $100 per function. Exceptions may be made at the discretion of the Executive Board and upon approval of the members.
SECTION III: The CSRA MOMS will help members in needy times with food, baby sitting and clothing whenever possible, but not supply monetary assistance. Members needing assistance should contact the Membership or Sunshine committee chairpersons.
SECTION IV: The treasurer shall only make checks payable to a member or business providing a service.
SECTION V: All transactions will be made with checks, with the exception of the fall and spring yard sales. All monies received will be deposited and checks will be written for expenses.
ARTICLE IX
FORMAT FOR YARD SALES SECTION I: SALE SET-UP A. Member set-up is on Friday evening from 5:30-7:30 pm. Sellers are asked to have clothing on hangers or bags and priced with the size, and their three initials. Non-clothing items should be pre-sorted by age. Members should be encouraged to come to the sale set-up with items already marked and be cleaned appropriately. B. Clothing racks and tables should be organized into proper size/sex. C. Separate tables should be used for toys, books and other non-clothing items. These items should be grouped by age of use. D. An area should be made exclusively for twin outfits, i.e. matching girl, matching boy or matching boy/girl set. These items are to be sold as sets (priced accordingly) and should be the same size or clearly marked if different sizes. All matched sets would go into this area unless the seller requests they be taken out for general selection. E. An area should be made for maternity clothing and related items. F. An area should be made for items that are stained or more heavily worn, but still usable. These items should be marked as “best bargains” or another descriptive name.
SECTION II: SALE DATES AND HOURS A. The fall and spring yard sales will be held on the dates specified by the chairperson, based on availability of the location. B. Sales shall be made to current members and prospective members (during their two-month trial membership only) on Friday evening between the hours of 7:30-8:30 pm. Sales will be made to the general public on Saturday between the hours of 8:00 am and 12:00 noon. Current and prospective members may also make purchases on Saturday.
SECTION III: SELLER INFORMATION A. Current members (those who are current on their membership dues) are allowed to sell at the yard sales. Fifteen percent (15%) of the member’s profit will be donated to CSRA MOMS. B. Members who are selling are requested to work the entire length of the Saturday sale. Members are also are requested to be available for set-up on Friday night and be available for clean-up on Saturday afternoon. There is no additional fee if members are unable to work during the sale. C. Non-members (i.e. current members’ friends and family) are allowed to sell their unwanted items at the yard sales, provided that they are willing to 10% of their profit to CSRA MOMS. Members should have the friends’ items marked with the members’ three initials and a number (i.e. ABC-1). D. All sellers will have their portion of the profit paid to them after clean-up on Saturday afternoon. Payments will be made in cash.
SECTION IV: MISCELLANEOUS A. Baskets (when available) will be provided to shoppers during the sale. Baskets are to remain the property of the club or the member who provided them. B. Members working at the sale should either wear a club nametag or appropriate garment i.e. club t-shirt or smock to alert shoppers of their availability to help. C. Local checks or cash will be accepted from current and prospective members for yard sale purchases. Purchases made by the general public must be made in cash. No credit cards will be accepted. Checks written during the preview sale on Friday night will be cashed on Saturday morning to provide additional money during the sale. D. Signs should be posted at key locations to the sale locations prior to the yard sale (following county ordinances). Signs should be removed promptly at the end of the Saturday sale. E. Clean-up of the sale should be coordinated by the yard sale chairperson, recruiting members to provide assistance. Storage of the tables and clothing racks should be arranged by the yard sale chairperson.
ARTICLE X
MISCELLANEOUS Members requesting needed items or selling items may do so through the newsletter or website. Information should be forwarded to the Editor for publication. Any members selling items through the newsletter or website are asked to donate ten percent (10%) of all monies to CSRA MOMS.
All members’ names and phone numbers shall be used for CSRA MOMS business only unless otherwise specified by that member.
ARTICLE XI
AMENDMENTS The Bylaws of this organization may be amended at any regular meeting by a two-thirds (2/3) vote of all members present, said amendments having been published on the website’s newsletter or through an email preceding the regular meeting of the organization.
