revised PTO bylaws 8/30/09 INDIAN CREEK ELEMENTARY PTO BYLAWS Article I Name The name of the organization shall be the Indian Creek Parent Teacher organization. It shall hereafter be known as IC PTO. Article II Purpose and Objectives The purpose of the IC PTO is to support the education of children at Indian Creek Elementary, as part of the LINN-MAR school district, Marion IA. The IC PTO shall do this by: a. Fostering closer working relationships between Indian Creek Elementary, parents, teachers and staff. b. Providing a forum for discussion and communication between parents, teachers and staff at Indian Creek Elementary. c. Enhancing the educational facilities and opportunities for the students, teachers and staff at Indian Creek Elementary. Article III Membership All staff, and parents or guardians of students, of the Indian Creek Elementary School are members of the IC PTO. In addition, any parents or guardians of students previously enrolled at Indian Creek, that are no longer able to attend due to death or disability, are considered members throughout the natural progression of their child(ren). There are no membership dues or fees. Any member shall have the privilege of voting, making motions and serving on committees. Article IV Board, Officers and Event Chairs Section 1. Executive Board The executive board shall consist of the elected officers of Chairperson, Co-Chairperson, Secretary and Treasurer. All positions are voluntary and unpaid. To be eligible to serve on the executive board, you must have a child enrolled in the Indian Creek Elementary School. The duties of the executive board shall be to transact the necessary business between the regular IC PTO meetings. This includes and is not limited to: setting the IC PTO calendar, creating standing rules and policies, creating standing and temporary committees, preparing and submitting a budget to the general IC PTO membership, authorizing expenditures and preparing reports and recommendations. Any executive board member may call a special meeting of the executive board. Section 2. Officers Chairperson – The Chairperson shall preside over all meetings of the IC PTO, and the executive board meetings. The Chairperson may represent the IC PTO at meetings outside of the organization. The Chairperson may break a tied vote at IC PTO meetings. The Chairperson will serve a one year, renewable elected term. Co-Chairperson – The Co-Chairperson shall assist the Chairperson and carry out the Chairpersons duties in his or her absence, or inability to serve. In the event the Chairperson resigns, the Co-Chairperson will assume the office of Chairperson. The Co-Chairperson will serve a one year renewable term. This officer may progress to Chairperson, without a vote if the Chairperson does not wish to renew their term. Secretary – The Secretary shall keep records of the IC PTO, take and record minutes, handle correspondences, update the web page, send out meeting notices, and produce the monthly meeting agenda. The Secretary shall serve a two year term, renewable on a year to year basis. Treasurer – The Treasurer shall receive all monies of the IC PTO, keep an accurate record of receipts and expenditures, and pay out funds in accordance with the approved budget or the Executive Board. The Treasurer shall make available a financial statement at every general IC PTO meeting, and at other times as requested by the Executive Board. The Treasurer shall make a full report of the previous school year revenues and expenditures at the first IC PTO meeting of the next school term. The IC PTO finances may be subject to an audit at any time. The term of office of the Treasurer shall be two years, and renewable on a year to year basis. Section 3. Event Chairs Event chairs shall be created by the Executive Board as deemed necessary to promote the objectives and carry on the work of the IC PTO. Chairs are filled on a volunteer basis. The term shall be for one school year with no limit on the number of consecutive years an event chair may hold a position. All relevant notes should be turned over to the new event chairs at the end of the IC PTO term, June 30, of each school year. If a new chair has not been appointed, all materials shall be turned over to the executive board. Article IV Nominations and Elections Nominations for Executive board positions will be taken during the April general IC PTO meeting for any board positions which terms are up. Officers shall be elected at the May IC PTO meeting for the subsequent school year term beginning July 1. If there are no nominations for an officer position, self-nominations will be taken from the general membership. Only those who have consented to shall serve. Voting shall be by a voice vote if there is only one candidate for office. If more than one person is running for an office, a written ballot shall be taken. Each person running for a contested office will be given an equal amount of time up to 5 minutes to present their qualifications at the May meeting before the vote is taken. All officers shall deliver to their successor’s any and all materials at the close of their term. Midterm replacements will be acceptable if suitable replacements are not found at the May meeting. The transition of materials shall occur before the next regular meeting is held. Article V Meetings The regular general IC PTO meetings shall be held a minimum of 5 times per school year. Two officers and four general members present at any meeting shall constitute a quorum for the transaction of business. Article VII Finances The fiscal year of the IC PTO shall run from July 1 through June 30th. It shall be the duty of the Executive Board to prepare a budget for the fiscal year and submit said budget at the first general IC PTO meeting of the fiscal year for approval. The budget may be amended by a majority vote at a general IC PTO meeting, or by a majority vote of the Executive Board. All expenditures within the realm of the approved budget are to be considered authorized expenditures. The Treasurer shall keep accurate records of all disbursements, income and bank account information. The authorized signers on the IC PTO checking account shall include the Treasurer and a second officer or the immediate past treasurer if he/she still has a child enrolled in the Indian Creek Elementary School. The Scrip chair is also an eligible signer on the IC PTO checking account. Article VIII Bylaws The bylaws may be adopted or amended during any general meeting by a majority vote of the general IC PTO membership. Article XI Parliamentary Authority The rules contained in the current edition of Robert’s Rules of Order shall govern the IC PTO when not in conflict with these bylaws, policies or special rules of order the IC PTO may adopt. Article X Dissolution The IC PTO may be dissolved with previous notice of at least 21 calendar days and a majority vote of those present at a general meeting. Upon the dissolution of the IC PTO, after paying or adequately providing for all debts and obligations of the IC PTO, the remaining assets shall be distributed to the Indian Creek Elementary School, or for the benefit of the school. If the school ceases to exist, the remaining IC PTO assets shall be distributed to another organization within the Linn-Mar School District. This may include other elementary school PTO(S) or the Linn-Mar Foundation. Funds may be divided between several organizations within the Linn-Mar district. The executive board will determine the disposition of funds. |
