ARTICLE I
NAME
The name of this Association shall be TWO SPRINGS HOMEOWNERS ASSOCIATION (TSHOA)
ARTICLE II
OBJECTIVES
The objectives of this Association are as follows:
a) To serve the welfare of the homeowners in all matters of mutual interest in the community;
b) To publicize and enforce the restrictive covenants applicable to the Two Springs Subdivision, Sarpy County, Nebraska, and to foster an environment in the subdivision which will be conducive to maintaining and improving the property values of the homeowners;
c) To create and foster social relations among the homeowners; and
d) This organization shall be non-profit, non-sectarian, and operate for the improvement of the community.
ARTICLE III
DUES AND MEMBERSHIP
a) Any resident of Two Springs Subdivision shall be qualified for membership upon paying the required yearly dues.
b) The annual dues shall be ten dollars ($10.00) per household. Annual dues shall be charged by 2/3 vote of the general membership of the Association present at a meeting called under Article IV hereof.
c) Each household whose membership dues are current (i.e. not in excess of thirty days in arrears (cut-off date 30 Nov)), will be considered an active member, shall be entitled to cast a total of one vote in all elections, provided the member is present when such votes are cast.
d) Only active members of TSHOA may be eligible for prizes or any type of compensation awarded by the TSHOA.
e) Only active members and their families of TSHOA may participate in social activities and or events organized by the TSHOA.
ARTICLE IV
MEETINGS
a) General membership meetings shall be held quarterly. The Board shall call meetings for purpose of making decisions on matters only if said matter is such urgency as to render calling of special membership meeting impracticable. Notice stating the place, day, and hour of the meeting shall be conspicuously posted at least three days in advance of the meeting.
b) Members with major concerns may address the meeting, provided they are placed on the agenda at least ten (10) days prior to the meeting.
c) Special meetings shall be open to the general membership and notice of such meetings shall be conspicuously posted.
d) All matters shall be decided by majority vote of the members present except as otherwise stated herein.
ARTICE V
ORGANIZATION
The affairs of this TSHOA shall be governed by a Board of Directors, which shall consist of a President, Vice President, Secretary, and Treasurer. It is the intent of the TSHOA that the officers be elected from all areas of the subdivision, thereby giving representation to the entire community. All members of the Board shall be residents of Two Springs Subdivision, and must be paid members of the TSHOA.
PRESIDENT: It shall be the duty of the President to preside at all meetings of the TSHOA and it’s Board. He/she shall have such powers of discretion and supervision as usually pertain to this office.
VICE PRESIDENT: In the absence or disability of the President, the Vice- President shall perform all the duties of the President.
SECRETARY: The Secretary shall keep minutes of all meetings of the General Membership and Board; handle correspondence; assist the President during he election of officers and perform all other functions incidental to the office.
TREASURER: The Treasurer shall care for all funds belonging to the TSHOA; deposit all funds of the TSHOA in the Norwest Bank in Bellevue in the name of TWO SPRINGS HOMEOWNERS ASSOCIATION; keep an itemized account of all monies received and disbursed; make a report on the condition of the finances when requested; shall give a Treasurer’s Report at each membership meeting and at the end of each fiscal year; and shall publish a brief financial report in each TSHOA newsletter.
ARTICLE VI
SUCCESSION, REMOVALS, AND VACANCIES
a) Any officer or director may be removed from office as a result of failure to fulfill the duties of said office or for conduct detrimental to the best interests of the organization. Members of the Board may be removed by a two-thirds (2/3) vote of the TSHOA membership present at the meeting.
b) The President shall have the power to fill vacancies with the approval of two-thirds (2/3) vote of the TSHOA membership present at the meeting.
c) Absence without cause at three (3) consecutive meetings by officers shall be justification for removal.
ARTICLE VII
NOMINATIONS AND ELECTIONS
a) Election of new officers shall be held yearly during the October meeting.
b) Nominations shall be accepted from the floor prior to election at the October meeting. The Secretary shall officially declare nominations closed prior to the election.
c) Elected candidates shall assume office at the first meeting following the election and serve until the next annual election.
ARTICLE VIII
PARLIAMENTARY AUTHORITY
All matters or parliamentary produce not specifically provided for herein shall be conducted in accordance with Roberts Rules of Order.
ARTICLE IX
AMENEDMENT OF BY-LAWS
These By-Laws may be amended at any meeting of the TSHOA by two-thirds (2/3) vote of the members present.
ARTICLE X
EFFECTIVE DATE
These By-Laws shall be in effect when adopted by a two-thirds (2/3) vote of the TSHOA membership present.
