Chapter By-laws Chapter BY LAWS of Finger Lakes Chapter of the 99s, Inc. Article I: Definition 1.1 This organization shall be known as the Finger Lakes Chapter of the 99s, Inc., and shall where the context permits, be referred to hereinafter as the Finger Lakes Chapter. 1.2
The purpose of the Finger Lakes Chapter is stated
in its entirety in the Certificate of Incorporation. This Chapter shall function only for non
pecuniary purposes, and no part of its assets, income, or profit shall be
distributable to or shall inure to the benefit of its members, directors, or
officers. 1.3
No substantial part of the activities of the
corporation shall be the carrying on of propaganda, or otherwise attempting to
influence legislation, and the corporation shall not participate in, or intervene
in (including the publication and distribution of statements) any political
campaign on behalf of any candidate for public office. Article II: Membership 2.1 Membership in the Finger Lakes Chapter shall be by invitation to a female holder of a current pilot certificate of Private, or equivalent, or higher grade, issued by the appropriate Government authority, and shall consist of Active and Supportive members. 2.2 Active Member: Any member who is a member of the Ninety-Nines, Inc., and who participates in Chapter activities may be an active member. 2.3 Supportive Member: Any member who was an active member in the 99s, Inc. for at least 2 years and who participates in this Chapter’s activities, but does not hold a current pilot certificate may be a supportive member. Article III: Leadership 3.1 Board of Directors: The management of the property and affairs of the Finger Lakes Chapter shall be vested in a Board of Directors, which shall consist of the elected officers of the Finger Lakes Chapter, plus not less than 1, nor more than 6 elected Board members. Finger Lakes Chapter of the 99s, Inc Revised June 2003 3.2 Officers: There shall be the following officers: Chairman, Vice-Chairman, Recording Secretary, Corresponding Secretary, and Treasurer. 3.3 Terms of office: Each officer and director shall be elected for a term of one year at the annual meeting. Terms of office shall include the period from June 1 to May 31 of the following year. 3.4 Duties of the Chairman: The Chairman shall be the chief administrative officer, and shall preside at all Board of Directors, annual, special, and other duly called membership meetings. She shall select and fill vacancies of elective offices and Board members for unexpired terms. 3.5 Duties of the Vice-Chairman: The Vice-Chairman shall act for the Chairman in her absence. 3.6 Duties of the Secretaries: The Recording Secretary shall record the minutes of all Board of Directors, annual, special, and other duly called membership meetings. The Corresponding Secretary shall maintain a membership roll and shall be responsible for the sending of all correspondence as directed by the Chairman. She shall provide notice to the membership of not less than 10 days nor more than 50 days before all Board of Directors, annual, special, and other membership meetings of the Finger Lakes Chapter at which Chapter business is conducted. 3.7 Duties of the Treasurer: The Treasurer shall be in custody of funds for the Finger Lakes Chapter. She shall present at the annual meeting an annual financial report for the preceding fiscal year, which shall include the period from January 1st to December 31st. 3.8 Nominating Committee: A nominating committee of at least 3 members shall be appointed by the Chairman. This nominating committee shall present at the annual meeting a slate of at least one candidate for each unfilled position of the Finger Lakes Chapter. Additional candidates may be nominated by any member at the annual meeting. Article IV: Meetings 4.1 Annual Meeting: An annual membership meeting of the Finger Lakes Chapter shall be held in May. The business of the annual meeting shall include the election of officers and Board members, and the presenting of the Treasurer’s annual report. Chapter BY LAWS of
Finger Lakes Chapter of the 99s, Inc Revised June 2003 4.2 Special Meetings: Special membership meetings of the Finger Lakes Chapter may be held after due notice, at the call of the Board of Director, or at written request of 10 members. 4.3 Quorum: A quorum for annual, special and other membership meetings of the Finger Lakes Chapter at which Chapter business is conducted, shall not be less than 3 members qualified to cast votes. A quorum of the Board of Directors shall be at least 1/3 of the membership of the Board. Article V: Revision 5.1 The By Laws may be amended upon the recommendation of the Board of Directors or a member of the Finger Lakes Chapter at a duly called meeting of the Finger Lakes Chapter. Passage of an amendment may be accomplished by at least a majority vote of the Finger Lakes Chapter. Article VI: Dissolution 6.1 The Finger Lakes Chapter of the 99s, Inc. may be dissolved by a 2/3rds vote of the membership at a duly called meeting of the Finger Lakes Chapter. 6.2 In the event of dissolution of the Finger Lakes Chapter, all assets of this corporation, after payment of all just debts and obligations shall be transferred to one or more organizations engaged in activities substantially similar to those of the Finger Lakes Chapter. This transfer shall be in accordance with the provisions of Section 501 (C) (3) of the Internal Revenue Code of 1954 and its regulations as they now exist or as they may hereafter be amended. Article VII: Rules 7.1 The Standard Operating Procedures (SOPs) shall be the rules to direct the specific duties of all officers and appointees. 7.2 The latest revised version of Robert’s Rule of Order shall govern the conduct of all meetings of the membership. * * * * * * * END * * * * * * * Chapter BY LAWS of
